1. Who we are and how to contact us
These Terms of Use (“Terms”) govern your access to and use of the website operated by Kent Consumer Brands APAC PTY Ltd and our related sites, portals and pages (collectively, the “Website”, “we”, “us” or “our”).

2. Eligibility and account access
2.1 Eligibility. You must be at least 18 and have legal capacity to enter into a binding agreement, or use the Website under the supervision of a parent/guardian who accepts these Terms.
2.2 Accounts. If you create an account or use a login restricted portal, you must keep your credentials confidential and are responsible for all activity under your account. Notify us immediately of any unauthorised access. We may suspend or terminate access if we suspect a breach of these Terms.
3. Acceptance of terms and changes
3.1 Acceptance mechanisms. Your use of the Website constitutes acceptance of these Terms. Where prompted (e.g., on sign up, checkout or portal access), you must click “I agree” to continue.

6.3 Trademarks. Our names and logos are our trademarks. You must not use them without our prior written consent. Third party marks are the property of their respective owners.
7. User content and feedback
7.1 User content. If you post, upload or submit content to the Website (“User Content”), you:
a) represent you have all necessary rights; and
b) grant us a worldwide, royalty free, transferable, sub licensable license to use, reproduce, host, modify, adapt, publish, translate, create derivative works from, distribute and display the User Content for the purposes of operating, improving and promoting the Website and our business.
7.2 Unsolicited ideas. We do not accept unsolicited product/service ideas. If you nonetheless send them, you agree they may be used without obligation or compensation.
7.3 Takedown. If you believe any content on the Website infringes your rights, contact us using the details in section 1 with sufficient information for us to locate and assess the material. We may remove or disable access at our discretion.

12. Governing law and venue
These Terms are governed by the laws of Queensland in Australia. You submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia sitting in that State/Territory.

14.1 Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control.
14.2 Assignment. You may not assign or transfer your rights or obligations without our prior written consent. We may assign our rights or obligations at any time.
14.3 Severability. If any part of these Terms is invalid or unenforceable, it will be severed, and the remainder will continue in force.
14.4 No waiver. A failure or delay to exercise a right or remedy is not a waiver.
14.5 Entire agreement. These Terms (and the documents referenced in section 4) constitute the entire agreement between you and us regarding the Website.
14.6 Interpretation. Headings are for convenience only and do not affect interpretation.
